Anthony Palazzo is the General Counsel for Carlyle Entertainment LTD (Toronto, CAN), Carlyle Payments, LLC (New Jersey, USA) and Carlyle Interactive, LTD (London, UK). He began his career with the in-house law firm acting as an associate General Counsel with Statewide Bancorp, N.A., holding company for a $4 billion dollar federally chartered commercial bank, The First National Bank of Toms River, NJ, N.A. As bank counsel he handled a wide variety of duties including Bank Compliance with Blue Sky Regulations, the FDIC and the Comptroller of the Currency; he handled commercial transactions, commercial and residential mortgage loans, commercial litigation, construction and real estate lending and development, bankruptcy and the acquisition of Penn Federal Savings Bank, Penn’s Grove, NJ. Mr. Palazzo has also been a Director and legal counsel for Ocwen Financial (NYSE-OCN) a $5 billion equity and financing Holding Company which formed the first hybrid equity and financing national REIT-Ocwen Asset Investment Corporation-(NASDAC: OAIC). Subsequent to Ocwen, he was a Director of Acquisitions, for Mack-Cali Realty Corporation (NYSE-CLI) a New Jersey based $4 billion REIT.

Prior to joining Carlyle, Mr. Palazzo was General Counsel for Eli Global, LLC, an international information and financial services group with over with $5 billion in assets across a broad range of products and services including: life insurance and annuities, dental insurance, electronic medical records, practice management systems, certifications, training, market research, advertising, information services, and revenue cycle management. Reporting directly to the CEO, Mr. Palazzo duties were to counsel Presidents of the Subsidiary Companies in all areas including: assistance in mergers & acquisitions, protecting Subsidiary Companies from internal and external liability, including theft, forgery and copyright infringement, drafting specialized educational service agreements, software and web based licensing agreements, sales and marketing agreements and any other documents as they relate to each Subsidiary Companies business lines, supervision of an Intellectual Property portfolio of over 300 USPTO filed Trademarks, handling employee litigation and disputes as well as legal oversight of out-side litigation counsel in all 48 States and corresponding Federal Courts throughout the United States as well as many International jurisdictions.

Mr. Palazzo also has an impressive academic background, where from 2005 until 2015, he was an Adjunct Instructor and Adjunct Professor with New York University’s Schack Institute of Real Estate. Currently he is a Clinical Specialist in the Accounting and Finance Department of the Feliciano School of Business with Montclair State University Montclair, NJ. He has been published in various legal journals and industry magazines. He engages in substantial “pro-bono” legal work for not-for profit organizations and is a benefactor for advanced education.

Mr. Palazzo has a J.D. in Law from Boston University School of Law, Boston, MA (1985) and an A.B in Economics, from Franklin & Marshall College, Lancaster, PA (1982). He is currently a licensed attorney at law in good standing with the State of New Jersey.
